AVM Group: The history behind the cleanroom industry merger

US-based cleanroom and containment expert AVM Group talked exclusively to Cleanroom Technology about the history behind the separate companies and the project collaborations that led to the landmark merger

As of 2024, three US-based companies- Architectural Interior Restorations, Vernick, and Matter Fabs merged to form AVM Group.

The merger came into effect on 1st January 2024. 

The historic merger brought together specialist knowledge in interior systems, controlled environments, radiation shielding, and mechanical systems.

AVM Group shared with Cleanroom Technology the history behind the companies and the close collaborations that led to the merger.

The companies from the beginning 

It started in 1983 when John Textoris Jr founded Architectural Interior Restorations (AIR), a Union Interior Systems subcontractor that specialised in commercial metal stud framing, drywall, and finish carpentry, serving the Northeast Ohio market.

Vernick was established in 1985 by Craig Vernick after many years of experience in sales and project management within the cleanroom industry. Over 30 years, Vernick built a reputable business, forging strong relationships with many of the top manufacturers in the cleanroom industry. 

In the early 1990s, AIR then strategically partnered with Vernick to provide expert installation of Vernick's cleanroom systems and they continued to work closely together over a number of years.

By the late 2000s, Trip Textoris, AVM Group’s CEO and son of AIR’s founder, John Textoris Jr, had graduated from Cleveland State University with a degree in accounting and joined the AIR office as an estimator and project manager.

Leveraging his hands-on experience with cleanroom systems, Trip naturally transitioned into managing cleanroom installations on joint projects with Vernick.

After years of joint project management, AIR, and Vernick developed a plan for AIR to acquire Vernick from its founder and CEO, Craig Vernick.

Then in 2015, Trip Textoris assumed ownership of both AIR and Vernick and maintained them as separate entities to preserve the distinct brands established by John Textoris and Craig Vernick.

Five years later in 2020, after meeting Dan Shields, an experienced radiation shielding engineer and inventor, a third company, Matter Fabs, was created to leverage the strengths of both AIR and Vernick in serving the radiation shielding industry.

The merger 

After four years and exponential growth in their respective markets, Trip Textoris began making moves to better serve its clients through a strategic merger into AVM Group, resulting in a multi-faceted team equipped with the skills to handle projects in the interior systems, controlled environments, radiation shielding, and mechanical systems market place.

Further, the merger has given AVM Group the ability to push the envelope in all four industries it is involved in, according to Trip Textoris.
